1About these terms
These Terms and Conditions ("Terms") are an agreement between you and Vendora Digitals Limited (registration no. Bk8036Ci975B), a company based in Uganda ("Vendora", "we", "us" or "our").
They apply whenever you create an account for, install, access or use any Vendora product or service, including Vendora POS, Vendora School, the Vendora online dashboard, and our website and software development services. Browsing our website is covered by our separate Website Terms of Use. Our Privacy Policy, Cookie Policy and Refund Policy also form part of these Terms.
By ticking the box to accept these Terms during sign-up, or by using any Vendora product, you confirm that you have read, understood and agree to them. If you do not agree, do not create an account or use our products.
If you accept these Terms on behalf of a business, school or other organisation, you confirm that you have authority to bind that organisation, and "you" means that organisation.
2Definitions
- Products means Vendora's ready-made software, including Vendora POS (the Windows 10/11 and Windows 7/8/8.1 editions and Online mode), Vendora School, the online dashboard at monitor.vendoradigitals.com, and any future Vendora products.
- Services means installation, training, support, website development, custom software development and related work we provide.
- Account means the owner, manager, cashier, staff or other login created for you or your organisation.
- Customer Data means the information you or your users enter into a Product, such as sales, stock, prices, customers, staff, students, fees and marks.
- Order means a quotation, invoice, proforma or written agreement from Vendora describing what you are buying and its price.
3Your account
- You must be at least 18 years old and able to enter into a binding contract under the laws of Uganda.
- You must give accurate, complete and current information when you sign up, and keep it up to date.
- You are responsible for keeping usernames, passwords and PINs secret, and for all activity under your Account, including activity by staff accounts you create.
- You must give each staff member their own login and remove access promptly when a staff member leaves.
- Tell us immediately on 0744 683 189 if you believe your Account has been accessed without permission.
4Licence to use our products
Subject to these Terms and to paying the applicable fees, Vendora grants you a limited, non-exclusive, non-transferable licence to use the Products for your own internal business or school operations, for the number of users or devices stated in your Order.
You must not, and must not allow anyone else to:
- copy, sell, rent, share, sub-license or redistribute any Product or installer;
- reverse engineer, decompile or try to extract the source code of any Product, except where the law expressly allows it;
- remove or bypass licence checks, security features or Vendora branding;
- use a Product to build a competing product; or
- install a Product on more devices than your Order allows.
Download Vendora products only from our official website or directly from the Vendora team.
5Fees and payment
- Fees are as stated in your Order or on our published price list, and are in Uganda Shillings (UGX) unless stated otherwise.
- Fees may include one-time charges (such as licence, setup or installation) and recurring charges (such as monthly or annual subscription, hosting or support).
- Payment can be made by mobile money (MTN MoMo, Airtel Money), M-Pesa, credit or debit card (Visa, Mastercard), PayPal, cryptocurrency, bank transfer, or another method we confirm in writing. Card, PayPal and crypto payments are processed by our payment providers on their own secure pages; Vendora never receives or stores your full card number, PIN or wallet keys.
- Payment is complete only when the payment provider or our bank confirms that the funds have reached Vendora. Screenshots, SMS messages or transaction IDs alone are not proof of payment, and we may refuse or reverse an activation if a payment is not confirmed, is reversed or turns out to be fraudulent.
- Crypto payments are priced in Uganda Shillings or US dollars at the time of payment. You pay any network fees, and the payment counts only once it has the number of network confirmations shown at checkout.
- Recurring fees are payable in advance. If a payment is more than 14 days overdue, we may limit or suspend access after giving you notice.
- Fees exclude taxes unless stated. Applicable taxes will be added as required by Ugandan law.
- Refunds are handled under our Refund Policy. Except where the law, our Refund Policy or your Order says otherwise, fees for work already done, installation already completed, or a subscription period already started are not refundable.
- We may change our prices for future periods by giving you at least 30 days' notice. Price changes do not affect a period you have already paid for.
6Setup, training and support
- Where your Order includes it, we will install the Product, help load your initial data and train your nominated staff.
- You must provide suitable computers, internet access, printers and other hardware, and give our team reasonable access to your premises.
- Support is available 24/7, online (WhatsApp, email and the contact form on our website) and by direct phone contact. We aim to reply as quickly as possible at any time of day. On-site visits beyond those in your Order, and help caused by misuse or third-party equipment, may be charged separately.
7Your data and privacy
- Your data stays yours. You own your Customer Data. You give Vendora permission to store, process, back up and transmit it only as needed to provide, secure, support and improve the Products and Services for you.
- We will handle personal data in line with the Data Protection and Privacy Act, 2019 of Uganda and its regulations. We will not sell your Customer Data.
- We use reasonable technical and organisational measures to protect Customer Data. No system is completely secure, and you must also protect your own devices, passwords and backups.
- For the Windows version, data stored on your own computer is your responsibility to back up, unless your Order includes online sync or backup by Vendora.
- You are responsible for having a lawful basis to collect any personal data you enter, such as customer, staff, student or parent details, and for informing those people where the law requires it.
- We may access your Account or Customer Data only to provide support you request, to fix problems, for security, or where the law requires it.
- We may use anonymous, combined statistics that do not identify you or any person to improve our Products.
Our Privacy Policy explains in full what personal information we collect and how we use it. If you'd like a copy of your data, or to ask how your personal information is used, contact us using the details in section 19.
8Acceptable use
You agree not to use any Product or Service to:
- break any law of Uganda, including tax, consumer protection and data protection law;
- record fraudulent sales, hide income or create false records;
- upload viruses or harmful code, or try to access accounts, data or systems that are not yours;
- overload, disrupt or interfere with Vendora's servers or other customers' use; or
- store content that is unlawful, abusive or that infringes someone else's rights.
9Availability and updates
- We aim to keep our online services, including Online mode and the online dashboard, available at all times, but we do not guarantee uninterrupted or error-free service. Access depends on your internet connection and on third-party networks.
- We may carry out maintenance, and will try to do planned work outside busy trading hours and give notice where practical.
- We may release updates that fix problems, improve security or add features. Some updates may be required to keep using a Product safely.
10Third-party services
Products may work with services we do not control, such as internet providers, hosting providers, WhatsApp, SMS providers, mobile money and bank services, thermal printers, barcode scanners and cash drawers. Payment services you use to pay us, such as banks, MTN Mobile Money and Airtel Money, are also run by third parties. Those services are governed by their own terms, and Vendora is not responsible for their availability, charges or failures.
11Intellectual property
Vendora and its licensors own all rights in the Products, their software, designs, documentation, and the Vendora name and logo. Apart from the licence in section 4, these Terms do not transfer any of those rights to you. If you send us suggestions or feedback, we may use them freely to improve our Products.
12Websites and custom software
- The scope, timeline, deliverables and price of each website or custom software project will be set out in a written quotation or agreement.
- We may require a deposit of 50% before work starts, with the balance due as stated in the quotation.
- Changes outside the agreed scope may cost extra and may change the timeline.
- You must supply content, approvals and feedback on time. Delays on your side may delay delivery.
- When you have paid in full, you own the final website content and custom work made specifically for you, except for Vendora's reusable tools, libraries and components, which you receive a licence to use.
- Domain names and hosting are renewed yearly. You are responsible for paying renewals, even where Vendora manages them for you.
13Products in development
Joining a waiting list, such as the Vendora School waiting list, does not create an obligation for either of us. Early-access, trial or demo versions are provided as they are, may change, and may be withdrawn. The demo dashboard shows example data only.
14Your responsibilities for records
Vendora products help you keep records, but you remain responsible for checking that prices, stock, sales, fees, marks and other figures are correct, and for meeting your own tax, accounting, licensing and regulatory obligations. Reports from a Product are not a substitute for professional accounting or tax advice.
15Limitation of liability
- Nothing in these Terms limits liability that cannot be limited under Ugandan law, including liability for fraud.
- Except as stated in these Terms, the Products and Services are provided without other promises, whether stated or implied, to the extent the law allows.
- Vendora is not liable for indirect or consequential loss, including loss of profit, revenue, goodwill or data that could have been prevented by reasonable backups, or loss caused by your equipment, internet connection, staff, or third-party services.
- Vendora's total liability arising from these Terms in any 12-month period is limited to the fees you paid to Vendora for the affected Product or Service in that period.
16Suspension and termination
- You may stop using a Product at any time and may cancel a subscription by giving us written notice before the next renewal.
- We may suspend or end your access if you seriously or repeatedly break these Terms, do not pay overdue fees after notice, or if we must do so by law. Where practical, we will warn you first and give you time to fix the problem.
- After your account ends, you may request an export of your Customer Data within 30 days. After that period we may delete it, except where we must keep it by law.
- Sections that by their nature should continue, including sections 7, 11, 14, 15 and 18, continue after termination.
17Changes to these terms
We may update these Terms from time to time. We will post the new version on our website with a new effective date and, for important changes, notify you through the Product, by SMS, WhatsApp or email at least 14 days before they take effect. If you continue using our Products after that date, the updated Terms apply.
18Governing law and disputes
These Terms are governed by the laws of the Republic of Uganda. If a dispute arises, we will first try to settle it in good faith by discussion. If it is not settled within 30 days, either of us may refer it to mediation, and if that fails, to the courts of Uganda.
Electronic acceptance of these Terms, such as ticking a box at sign-up, is valid and binding in the same way as a signature, in line with the Electronic Transactions Act, 2011.
